Terms & Conditions

Welcome to Farmeasy Lighting. These general terms and conditions outline the rules and regulations for the use of our services and the purchase of our specialized industrial lighting solutions by way of online ordering and orders from non-account holders. By accessing this website or purchasing our products, you accept these terms in full.

2. Prices and Payment

2.1         Prices of all whole goods and spare parts are ex-works and do not therefore include carriage or packing charges.   Accessories ordered separate of whole goods will incur carriage and packing charges.

2.2         Prices quoted and shown in Company price lists are all in GBP Pounds Sterling exclusive of VAT.

2.3         All equipment and spares are supplied at the price ruling at the date of despatch.

2.4        All proformas issued must be paid in full before we will release goods to the courier for delivery

3. Cancellation

3.1        Orders made and accepted by Farmeasy Europe Limited constitute a contractual agreement whereby there is a commitment to receive and pay for any order made. Many of our products are made to order and costs are incurred from the time an order is accepted. Any cancelled orders, on the part of the Buyer, will require payment in full by way of the terms of the invoice supplied in line with the full order. Any variations to this lie solely at the discretion of Farmeasy Europe Limited.

4. Shipping and Delivery 

4.1        Delivery Lead times indicated by Farmeasy Europe Limited are indicated as precisely as possible but are subject to availability and manufacturing lead times. The event of late delivery does not entitle the customer to any refund/discount/damages or deductions. Time is not of the essence for any order made and accepted.

4.2        Farmeasy Europe Limited use different couriers and mail companies for its shipping dependent on cost, availability, terms and conditions – carriage is calculated based on available quotes at the time of shipment.

4.3         Delivery shall be deemed complete when the Company gives possession of the goods to a carrier for delivery to the Customer. The Company shall not be liable for any damage or loss whatsoever arising from any failure to deliver or delay in delivery of the goods caused by an event beyond the Company’s control.

4.4         Claims for missing items, shortages or damaged goods must be reported within 72 hours of receipt of delivery. Any claim made after this time will not be considered.

5. Return of Goods

5.1         No Goods will be accepted for return by the Company without prior written approval or electronic approval by way of the website. Any Goods that are accepted for return shall be returned to the Company at the Customer’s expense. A charge will be made for Goods, which are received back in less than saleable condition. You have the right to return goods up to 30 days from the date of despatch.

6. Warranty

6.1         The Company warrants that all new whole goods are sold free from defects in materials, mechanical parts and workmanship. Accordingly the Company undertakes to repair, or at the Company’s option or discretion replace, any part which within the warranty period  which commences from the date of delivery is found to be defective, provided that the equipment has been properly installed in accordance with the company’s instructions and used for normal purposes only in accordance with the instructions and has not been subject to neglect, misuse, modification or accident and has not been repaired, serviced or dismantled by any person other than a person authorised by the Company. The Company shall not be liable in any circumstances for any loss, injury or expense, whether direct or indirect, which may arise for any reason whatsoever from any defect in or otherwise in connection with any Goods supplied or work done by the Company. The fitting of non-genuine parts may invalidate the warranty. The warranty does not extend to cover repair or replacement of moving parts, wearing parts or disposable parts (lamps etc) due to normal fair wear and tear arising from use. The warranty period of whole goods is Six Months and for Spare Parts Three Months. The warranty terms and period for out sourced components will be as specified by the Warranty Policy of the producing and supplying company. All warranty goods returned to the Company are at the Customers expense.

7. Governing Law

7.1         These Terms form a contract whereby its interpretation, validity and performance shall, in all respects, be governed by the Laws of England.

8. Safety

8.1      The Company recommends all normal safe working practices are observed at all times when fitting Company equipment.

1. General Conditions of Sale

1.1       The following General Conditions of sale should apply to all sales of products/goods/parts/items/intellectual property by Farmeasy Europe Limited. These conditions will prevail at any and all times over any terms and conditions attached to a Customers purchase order or quote acceptance or verbal or written intimation.

1.2       Special Conditions may be agreed from time to time, but can only be agreed in writing by Farmeasy Europe Limited and will apply to the particular transaction in question – any variance in this instance will be stated within writing and all other conditions shall remain in force and effect – with general conditions reverting for any further transaction, unless otherwise agreed, in writing.

1.3        By placing an order as an account holder, the Customer accepts Farmeasy Europe Limited General conditions of sale without reservation, amendment or limitation. Any information supplied by way of catalogues, advertising, official website, social media or any other electronic media, or verbally is provided by Farmeasy Europe Limited for information purposes and Farmeasy Europe Limited reserve the right to make modifications at any time, without prior notice.

1.4        Any modification of exemption from the general conditions of sale by an employee of Farmeasy Europe Limited shall not be binding upon Farmeasy Europe Limited unless given in writing by a fully empowered representative of Farmeasy Europe Limited

1.5        Delay or failure by Farmeasy Europe Limited to enforce any of its rights under the general conditions of sale may not be interpreted by the Customer as a Waiver of its right to subsequently enforce any of these conditions – the right remains with Farmeasy Europe Limited to enforce any such rights in perpetuity.

1.6        Variations – The Company’s policy is one of continuous development and improvement. Accordingly descriptions, specifications, terms & conditions, prices, dimensions and weights etc given in price lists, sales brochures, Web sites etc, may change without notice; under such circumstances the Customer shall accept the goods so changed in fulfilment of the contract. No such variation shall, under any circumstances vitiate the contract.

2.3 All equipment and spares are supplied at the price ruling at the date of dispatch.

2.4 All items/parts/products/goods remain the property of Farmeasy Europe Limited until such time as the invoice has been paid in full.

2.5 Notwithstanding delivery and the passing of risk in the goods, or any other provision of these conditions, the property in the goods shall not pass to the Customer until the Company has received in cash or cleared funds payment in full of the price of the goods and all other goods agreed to be sold by the Company to the Customer for which payment is then due.

2.6 Until such time as the property and the goods passes to the Customer, the Customer shall hold the goods as the Company’s fiduciary agent and bailee’ and shall keep the goods separate from and unattached from those of the Customer and third parties and properly stored, protected and insured and identified as the Company’s property. Until such time as the property and the goods passes to the Customer the Customer shall account to the Company for the proceeds of sales or otherwise of the goods whether tangible or intangible, including insurance proceeds, and shall keep all such proceeds separate from monies or property of the customer and third parties.

2.7 Until such time as the property in the goods passes to the Customer even during the 30 day invoicing credit period and whether or not the goods have been re-sold, the Company shall be entitled at any time to require the Customer to deliver up the goods to the Company and, if the Customer fails to do so forthwith, to enter upon any premises of the Customer or any third party where the goods are stored  (if necessary to detach and remove the goods if fitted to the Customers or third parties property, equipment or vehicles) and repossess the goods.

2.8 The Customer shall not be entitled to pledge or in any way charge by the way of security for any indebtedness any of the goods which remain the property of the Customer, but if the Customer does so all monies owing by the Customer to the Company shall (without prejudice to any other right or remedy of the Company) forthwith become due and payable.

2.9 Unless otherwise agreed with Farmeasy Europe Limited, payment terms will be 30 days from the date of invoice.

2.1.1 In the event of late payment, Farmeasy Europe Limited retain the right to withdraw any agreed discounts for being an account holder.

2.2.2 Further, in the event of continued delayed payments, Farmeasy Europe Limited retain the right remove payment terms and enforce payment upon order by way of a proforma to be received before goods are sent out for delivery.

2.3.3 Farmeasy Europe Limited reserve the right to charge interest for any late payments.

2.4.4 If the agreed payment terms differ from 30 days of the date of the invoice for your account, and payment is delayed after the due date, 2.2.1 2.2.2 and 2.2.3 above still apply.      

2.5.5 Further, in the event of failure to pay, Farmeasy Europe Limited reserve the right for overdue accounts, to charge interest at a rate of 4% above the base rate for the Bank of England, for the time being.

2.6.6 Proforma invoices must be paid in full prior to delivery.

3. Shipping and Delivery 

3.1 Delivery Lead times indicated by Farmeasy Europe Limited are indicated as precisely as possible but are subject to availability and manufacturing lead times. The event of late delivery does not entitle the customer to any refund/discount/damages or deductions. Time is not of the essence when it comes to orders accepted and expected delivery times.

3.2 Farmeasy Europe Limited use different couriers and mail companies for its shipping dependent on cost, availability, terms and conditions – carriage is calculated based on available quotes at the time of shipment.

3.3 Delivery shall be deemed complete when the Company gives possession of the goods to a carrier for delivery to the Customer. The Company shall not be liable for any damage or loss whatsoever arising from any failure to deliver or delay in delivery of the goods caused by an event beyond the Company’s control.

The Customer should notify the Company on receipt of the goods regarding any claims for damage in transit, and certainly within 3 working days. 

3.4 Claims for missing items, shortages or damaged goods must be reported within 72 hours of receipt of delivery. Any claim made after this time will not be considered.

4. Cancellation of Purchase Order

4.1 Cancellation, on the part of the Buyer: In the event you, as a customer, wish to cancel an order already placed with Farmeasy Europe Limited, you will still be required to make payment, in full, for those items ordered, as if you were to receive the order in full. At times, at the discretion of Farmeasy Europe, the payment due may be calculated proportionately to those items used, the time/labour in which has been spent in respect of the original order; together with any items purchased in order to fulfil the original order – even if you do not proceed to receive the goods but the choice in discretion lies solely with Farmeasy Europe Limited.

5. Return of Goods

5.1 No Goods will be accepted for credit by the Company without prior written approval. Any Goods that are accepted for credit shall be returned to the Company at the Customer’s expense. A charge will be made for Goods, which are received back in less than saleable condition. You have the right to return goods up to 30 days from the date of despatch.

7. Assignment

7.1 The Customer shall not assign the Contract in whole or in part to any third party without Farmeasy Europe’s prior written agreement.

Notice: As an account holder, we may agree to a discount for orders over a certain monetary value. This, if agreed, will be a discount given at our discretion and we reserve the right to withdraw any such discount in the event of continued late payments. Further, if we consider accounts to be overdue regularly, we reserve the right to request payment upon order by way of a proforma, removing the benefit of the agreed payment terms in line with being an account holder.
